Acquisition and disposition of assets Ref. EA 5706/002 24 June 2014 Subject : Report the Registration of paid-up capital of a subsidiary To : The President, The Stock Exchange of Thailand Energy Absolute Public Company Limited ("the Company") would like to inform that pursuant to the resolutions of the Board of Directors' meeting No 1/2014 held on 28th February 2014 has approved the increase of registered capital of a subsidiary, i.e. EA Solar Lampang Company Limited ("ESL") of Baht 199,800,000 ordinary shares (with par value of Baht 10.- each). The Company would like to report the additional paid-up of capital as follows: (ESL was established on 1 July 2013 with share capital of Baht 2,000,000 divided into 200,000 ordinary shares with par value of Baht 10.-each, the paid-up capital of Baht 2,000,000.- for the business of producing electricity from Solar Power) Date to register the paid-up capital of ESL : 23rd June 2014 Total additional paid-up capital : Baht 499,500,000.- (Approx. 4.26% of total Assets as of 31 March 2014) Having completed the registration of this paid-up capital : ESL shall have share capital of Baht 2,000,000,000.- Total ordinary shares of 200,000,000 shares (par value Baht 10.- each) Total paid-up capital of Baht 1,001,000,000.- The increase of registered share capital transaction was increased in accordance with the existing shareholding percentage. And having calculated the value of transaction (includes transaction during the past 6 months), this transaction is not subjected to act with the requirements of acquisition or disposition of assets of listed companies concerning the regulation of the Capital Market Supervisory Board and the Stock Exchange of Thailand.
